1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Client") and JEM Consulting Solutions ("we," "us," "our," or "Company") governing your access to and use of our website, services, and communications.

By accessing our website, engaging our services, or responding to our communications, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services or website.

2. About Us

JEM Consulting Solutions is a veteran-owned small business based in Jefferson, Georgia. We provide IT services, SEO and digital marketing, website design, AI call screening, and business management solutions to small businesses throughout Georgia and the United States.

We are registered with SAM.gov (UEI: FEHRJNN85J27, CAGE: 9ZL67) and hold the following set-aside certifications: SBA, SBP, SDVOSBC, SDVOSBS, VSA, VSS.

3. Services

We offer the following services, subject to the terms of individual service agreements:

• AI Call Screening: Spam Shield ($99/mo), Smart Screen ($149/mo), After-Hours Answer ($199/mo)
• SEO Services: Local SEO audits, keyword research, content strategy, Google Business Profile optimization
• Website Design: Custom website development, hosting setup, maintenance
• Local Authority Setup: One-time package ($500-$1,000) for online presence establishment
• Government Contracting: Prime and subcontracting services

Specific terms, pricing, and deliverables for each service are outlined in individual service agreements or proposals provided to the Client.

4. Use of Our Website

4.1 Permitted Use

You may use our website for lawful purposes only, including:

• Browsing our services and content
• Requesting consultations or free audits
• Contacting us about our services
• Accessing client resources provided to you under a service agreement

4.2 Prohibited Use

You agree not to:

• Use the website in any way that violates applicable federal, state, or local laws
• Attempt to gain unauthorized access to any part of the website, server, or database
• Interfere with or disrupt the website or servers hosting it
• Scrape, copy, or harvest content without our written permission

5. SMS and Phone Communications

5.1 SMS Marketing

By opting into our SMS marketing campaigns, you agree to receive text messages from JEM Consulting Solutions at the phone number you provide. Standard message and data rates may apply.

• Opt-in: Consent is obtained through explicit action (web form, keyword opt-in, or verbal consent documented by our team).
• Opt-out: Reply "STOP" to any message to unsubscribe. Reply "HELP" for assistance.
• Frequency: Typically 4-8 messages per month. Exact frequency may vary.
• Carriers: We are not responsible for carrier delays, message filtering, or delivery failures.

5.2 Call Screening Services

For clients using our AI call screening services, you acknowledge that:

• Inbound calls to your provided business number will be screened by our AI system
• Call summaries and transcripts may be generated and stored for service quality purposes
• You are responsible for informing your callers that calls may be recorded or screened, as required by applicable state law
• We are not liable for misclassified calls (e.g., a legitimate call flagged as spam or vice versa)
• Service availability depends on telecommunications provider uptime and is not guaranteed 100%

6. Intellectual Property

All content on this website — including text, graphics, logos, images, software, and design elements — is the property of JEM Consulting Solutions or its content creators and is protected by United States and international copyright laws.

For client projects, intellectual property ownership is governed by the individual service agreement. Unless otherwise stated in writing:

• Upon full payment, clients receive ownership of custom-designed website code and content created specifically for them
• JEM Consulting Solutions retains the right to display completed work in our portfolio and marketing materials
• Third-party tools, templates, or libraries used in client projects remain under their respective licenses

7. Client Responsibilities

Clients engaging our services agree to:

• Provide accurate and timely information needed to deliver services
• Respond to requests for feedback, approval, or content within reasonable timeframes
• Ensure they have the rights to any content, images, or data they provide to us
• Comply with applicable laws, including TCPA regulations for SMS campaigns and state call recording laws
• Make timely payments according to the agreed payment schedule

8. Payment Terms

• Monthly services: Billed in advance on the 1st of each month. Payment due within 7 days.
• One-time projects: 50% deposit required to begin work, 50% upon completion before launch/deployment.
• Late payments: Invoices unpaid after 15 days may result in service suspension.
• Refunds: Monthly subscriptions can be cancelled with 30 days notice. No refunds for partial months. One-time projects are non-refundable once work has commenced.

SEO Disclaimer: Search engine rankings are determined by algorithms controlled by Google, Bing, and other search engines. We do not guarantee specific rankings, traffic levels, or revenue outcomes. SEO results vary based on industry, competition, and market conditions.

AI Services Disclaimer: Our AI call screening services use machine learning models that may occasionally produce incorrect classifications. We continuously improve accuracy but cannot guarantee 100% correct call screening decisions.

Website Disclaimer: While we strive to keep information on our website current and accurate, we make no warranties or representations about the completeness, reliability, or suitability of the information.

10. Limitation of Liability

To the maximum extent permitted by law, JEM Consulting Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, revenue, or business opportunities
• Loss of data or data corruption
• Business interruption or downtime
• Loss of potential search engine rankings or traffic
• Telecommunications provider outages or failures

Our total liability for any claim arising from our services shall not exceed the amount paid by the Client to JEM Consulting Solutions in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless JEM Consulting Solutions, its officers, employees, and contractors from any claims, damages, losses, or expenses (including attorney's fees) arising from:

• Your use of our services or website
• Your violation of these Terms
• Your violation of applicable laws, including TCPA and state call recording laws
• Any content or materials you provide to us for use in projects
• Any inaccurate or misleading information provided to our AI systems

12. Confidentiality

We respect the confidentiality of our clients' business information. We will not disclose client data, business strategies, or proprietary information to third parties except as required by law or as necessary to provide contracted services (e.g., sharing hosting credentials with a web developer under NDA).

13. Termination

We reserve the right to terminate or suspend services and website access immediately, without prior notice, if:

• You breach these Terms or a service agreement
• You fail to make required payments
• Your conduct could harm us, our clients, or third parties
• Continuing the service relationship becomes legally or commercially impractical

Upon termination, you remain responsible for all outstanding fees. We will provide reasonable access to your data and content for 30 days following termination.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in Jackson County, Georgia.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. For significant changes, we may notify clients via email or SMS. Continued use of our services after changes constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
